1. Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you or the corporate entity you represent ("Client", "You") and CodTeg Tech Pvt. Ltd. ("CodTeg", "we", "us", "our").

By browsing our website, requesting a project estimate, signing a Statement of Work (SOW), or engaging CodTeg for software development, IT consulting, cloud engineering, or digital marketing services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of Services & Statement of Work (SOW)

CodTeg delivers end-to-end IT engineering services, including web and mobile application development, enterprise ERP/CRM integration, cloud architecture, AI automation, and technical SEO.

• Statements of Work: Specific project deliverables, milestone timelines, technical specifications, and fee schedules are governed by individual Statements of Work (SOW) or formal commercial proposals agreed upon prior to project kickoff.
• Change Requests: Any modifications to project scope or functional requirements requested after SOW sign-off will be evaluated under our standard change request procedure with associated timeline and cost estimates.
• Agile Sprints: Development is executed in transparent 2-week Agile sprints with regular staging reviews and client sign-offs.

3. 100% Intellectual Property (IP) Transfer Guarantee

We believe in total client empowerment and software sovereignty:

• Full Code Ownership: Upon full and final settlement of all agreed milestone payments, all right, title, and interest in and to the custom source code, UI/UX designs, database architectures, graphics, and documentation created specifically for the project are completely transferred and assigned to the Client.
• Repository Handover: CodTeg transfers all Git repository access (GitHub, GitLab, Bitbucket), CI/CD pipelines, and hosting environment keys directly to your engineering team.
• Third-Party & Open-Source Libraries: Third-party dependencies (such as React, Laravel, or open-source packages) remain governed by their respective permissive licenses (e.g., MIT, Apache 2.0).
• Pre-existing IP: CodTeg retains rights to its generic internal tooling, boilerplates, and foundational libraries used during development, granting the Client a perpetual, royalty-free, worldwide license to use them within the delivered software.

4. Client Responsibilities & Materials

To ensure timely execution and optimal quality, the Client agrees to:

• Provide necessary brand assets, API credentials, domain access, and third-party account permissions in a prompt manner.
• Assign a dedicated project point of contact (Product Owner) capable of providing functional approvals within 3 business days of sprint reviews.
• Ensure that all content, logos, multimedia, and datasets supplied to CodTeg do not infringe any third-party copyright, trademark, or intellectual property rights.

5. Milestone Invoicing & Payment Terms

Payment milestones are established in the SOW based on clear, verifiable deliverables:

• Standard Milestone Structure: Typically structured as an initial mobilization advance (20-30%), sprint milestone payments (40-50%), and final UAT completion payment (20-30%).
• Payment Windows: Invoices are payable within 7 to 14 calendar days of issuance via wire transfer, NEFT/RTGS, UPI, or international corporate payment gateways.
• Taxes: All invoices are subject to applicable Goods and Services Tax (GST in India) or local statutory withholding taxes as detailed on the invoice.
• Late Payments: Unresolved overdue balances beyond 30 days may result in a temporary suspension of staging deployment access until reconciled.

6. Non-Disclosure Agreement (NDA) & Confidentiality

Both parties agree to protect and maintain strict confidentiality regarding all proprietary information, trade secrets, business models, user datasets, and technical blueprints shared during consultations and project execution.

CodTeg executes standalone mutual Non-Disclosure Agreements (NDAs) prior to receiving confidential documentation upon request. Confidentiality obligations survive for a period of 3 years post-termination.

7. Warranties & Complimentary Bug Fix SLA

CodTeg stands firmly behind the reliability, performance, and code quality of our software:

• Warranty Period: Every custom project includes a 30 to 90-day complimentary post-launch warranty period (as specified in your SOW) during which any bugs or deviation from the approved functional specification are resolved at zero additional cost.
• Performance Standards: We ensure delivered web and mobile software adheres to modern web standards, responsive responsiveness, and OWASP security guidelines.
• Post-Warranty Support: Following the warranty window, ongoing maintenance, feature expansion, and version upgrades are provided through flexible Annual Maintenance Contracts (AMC) or dedicated hourly retainers.

8. Limitation of Liability

To the maximum extent permitted by applicable law, neither CodTeg nor its directors, officers, or engineers shall be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, revenue, data, or business interruption) arising from the use or inability to use the delivered software.

CodTeg's total aggregate liability for any claims under these Terms or any SOW shall not exceed the total fees actually received by CodTeg from the Client for the specific project or milestone giving rise to the claim in the preceding 6 months.

9. Termination & Cancellation Protocols

Either party may terminate a project agreement upon written notice:

• For Convenience: By providing 14 calendar days' written notice. The Client shall pay for all work completed, sprint milestones achieved, and non-cancellable third-party commitments incurred up to the date of termination.
• For Material Breach: Immediately if the other party breaches any material term and fails to remedy the breach within 14 days of written notification.
• Asset Delivery upon Termination: Upon settlement of accrued costs, CodTeg will promptly package and deliver all completed code, artifacts, and documentation to the Client.

10. Governing Law, Jurisdiction & Dispute Resolution

These Terms and any project contracts shall be governed by and construed in accordance with the laws of India.

In the event of any controversy, claim, or dispute arising out of or relating to this Agreement, the parties agree to first attempt good-faith negotiation for at least 30 days. If unresolved, the dispute shall be submitted to binding arbitration in Bengaluru, Karnataka, India under the Arbitration and Conciliation Act, 1996. The courts in Bengaluru, Karnataka shall have exclusive jurisdiction.
